1. Purpose & Agreement
These Terms of Service ("Terms") govern all services, educational programs, and digital products provided by Didaktos ("we", "us", or "our"), an AI Studio & Learning Partner operating in Vancouver, British Columbia. By accessing didaktos.ca, enrolling in our learning portals, purchasing digital assets, or submitting diagnostic intake forms, you agree to be bound by these Terms.

2. Offerings & Scope of Engagement
Didaktos provides professional architectural and educational AI services structured under our proprietary 2-Phase Methodology: The Architect’s Method™ and The Educational Blueprint™:
a) Diagnostic Audits (Workflow Micro-Audits & Comprehensive Audits): Asynchronous operational evaluations delivering an executive diagnostic report and tailored roadmap.
b) Tailored AI Training (1-on-1 & Small Group): Project-based synchronous coaching delivered via Google Meet paired with asynchronous foundational modules on Thinkific.
c) Digital Courses & Curriculum Bundles: On-demand, self-paced courses hosted on the Thinkific LMS portal.
d) Pre-Engineered Protocols & Agent Profiles (Didaktos ProShop): Downloadable logic frameworks and prompts for Google Gems, Opal, and corporate workspaces.
e) Essential AI Integrations: Bespoke sandbox engineering and direct deployment of intelligent agents natively within client-owned Google Workspace tenants.
f) Monthly Advisory Retainers: Ongoing L&D governance, technology spend optimization, prompt maintenance, and quality assurance.

3. Payment Terms, Pricing & Currency
All pricing is quoted and billed in Canadian Dollars (CAD) plus applicable federal (GST) and provincial (PST) taxes:
- Diagnostic Audits, Digital Courses & ProShop Downloads: 100% upfront payment processed via secure digital checkout (Stripe / PayPal / Credit Card).
- Tailored Training & Custom Integrations: Structured on milestone terms—a 50% initial deposit upon proposal/scope approval, and the remaining 50% balance cleared prior to live coaching, technical handover, or documentation release.
- Monthly Advisory Retainers: Invoices are issued five (5) days prior to month-end and settled on the 1st of each service month via automated processing or Interac e-Transfer.

4. Delivery Timelines & Service Level Agreements (SLAs)
- Rapid Workflow Micro-Audit: Delivered directly to your email within two (2) business days following completed intake submission and payment.
- Standard Communication: General email and diagnostic triage inquiries receive an automated acknowledgment and a direct response within twenty-four (24) business hours.
- Retainer Priority SLA: Active retainer clients receive priority support with a twelve (12) business-hour SLA during standard Canadian operating hours.

5. Scope Governance, Revision Limits & Change Orders
To protect project timelines and delivery standards:
- Revision Allowance: Custom integration projects and bespoke training roadmaps include up to three (3) structured rounds of client feedback at designated milestones.
- Scope Boundaries & Change Orders: Any technical features, extra workflows, or architectural expansions outside the agreed Scope of Work (SOW) require a formal Change Order detailing adjusted timelines and fees before execution.

6. Refund, Cancellation & Diagnostic Credit Protocols
- Asynchronous Digital Courses: Subject to a 14-day money-back guarantee, provided that less than 20% of the course content has been accessed.
- ProShop Digital Assets: Due to the immediate delivery of downloadable intellectual property and logic files, all ProShop purchases are strictly non-refundable.
- Diagnostic Audits: Non-refundable once intake processing has commenced. However, 100% of the audit fee is creditable toward subsequent Tailored AI Training or Essential AI Integration engagements if booked within thirty (30) days of report delivery.
- Consulting & Integrations: Initial project deposits are non-refundable once sandbox engineering or technical discovery has started. Rescheduling live sessions requires at least forty-eight (48) hours' written notice.
- Monthly Retainers: Cancellable by either party with thirty (30) days' written notice prior to the upcoming billing cycle.

7. Intellectual Property & Licensing
- Proprietary Frameworks: All training curricula, diagnostic templates, and proprietary methodologies—including The Architect’s Method™ and The Educational Blueprint™—remain the exclusive intellectual property of Didaktos.
- Commercial License: Clients receive a non-exclusive, non-transferable, single-user or single-organization commercial license to utilize delivered reports, custom agent prompts, and operational cheat-sheets internally. Reselling, sub-licensing, or publicly redistributing Didaktos logic assets is strictly prohibited.

8. Client Responsibilities & Workspace Environments
Clients maintain sole ownership, administrative access, and data governance over their internal IT tenants (e.g., Google Workspace, Microsoft 365). Didaktos provides structural configuration and educational guidance; clients are responsible for maintaining their own software licenses, user access permissions, and internal data hygiene.

9. Professional Disclaimer & Limitation of Liability
Didaktos provides professional advisory and educational frameworks designed to eliminate operational friction and optimize productivity. We do not provide formal legal, tax, or cybersecurity certifications. Furthermore, as third-party Large Language Model (LLM) providers frequently update their algorithms, Didaktos is not liable for downstream platform changes, vendor API depreciations, or third-party hosting outages. In no event shall Didaktos' total liability exceed the total fees paid by the client for the specific service in dispute.

10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
